Wholesale Price (W): Bulk pricing available when pool reaches required size.
Pool Price (P): Price paid by pool participants, including platform margin and buyer savings.
Pool Size (N): Required number of buyers needed to unlock wholesale pricing.
Platform Margin (M): Fixed percentage charged by platform for operational sustainability.
Buyer Savings (B): Difference between retail price and pool price, representing consumer savings.
3. Group-Buy Commerce Terms
3.1 How Group-Buy Commerce Works
Shop Master Sale operates on a transparent group-buy commerce model that enables collective purchasing power to unlock wholesale pricing for individual consumers.
- Buyers join Purchasing Pools for specific premium products
- Each pool has a required size (N) to unlock wholesale pricing
- When pool reaches required size, platform places bulk wholesale order
- Wholesale savings are shared between buyers (savings) and platform (margin)
- No recruitment, no peer-to-peer transfers, no financial dependencies
3.2 Hybrid Profit Model
Shop Master Sale uses a hybrid profit strategy combining fixed platform margins with demand-based dynamic pricing. This ensures platform sustainability while maximizing buyer savings. The mathematical model is: P = W + M, where P is your pool price, W is wholesale price, and M is platform margin.
3.3 No Recruitment Model
Unlike MLM systems, Shop Master Sale does not require or reward user recruitment. All transactions are direct purchases where each buyer pays for their own product. There are no financial dependencies between users and no requirement to recruit new members to sustain the system.
4. User Accounts
4.1 Eligibility: You must be at least 18 years old and have legal capacity to enter binding contracts.
4.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials.
4.3 One Account Per Person: Users are limited to one active account unless expressly authorized.
4.4 Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms.
5. Purchases & Payments
5.1 Payment Process: All pool payments are made through our secure payment processors and held in escrow until pool completion.
5.2 Refund Policy: If a pool does not reach required size, all payments are fully refunded. Once pool completes and order is placed, payments are generally non-refundable.
5.3 Transaction Fees: A minimal transaction fee may apply as outlined in our fee schedule.
5.4 Payment Methods: We accept major credit cards, debit cards, and other payment methods as specified.
5.5 Price Transparency: All prices are clearly displayed including retail price, wholesale price, pool price, and your savings.
6. Pool Mechanics & Fulfillment
6.1 Pool Formation: Purchasing pools are created for specific products with defined required sizes and timeframes.
6.2 Pool Completion: When a pool reaches its required size, the wholesale price is unlocked and bulk order is placed.
6.3 Incomplete Pools: If a pool doesn't reach required size within the timeframe, all payments are refunded in full.
6.4 Fulfillment Timing: Product delivery typically occurs within 14-21 days after pool completion and order placement.
6.5 Product Availability: We reserve the right to substitute products of equal or greater value if original products become unavailable.
6.6 Shipping: Standard shipping is included; expedited shipping may incur additional charges.
7. User Conduct
Users agree not to:
- Engage in fraudulent activities or misrepresentation
- Attempt to manipulate the group-buy system or pool mechanics
- Harass or abuse other users
- Use automated systems or bots to interact with the platform
- Create multiple accounts to manipulate pool participation
8. Intellectual Property
8.1 Platform IP: All Shop Master Sale trademarks, logos, group-buy commerce methodology, and platform content are our exclusive property.
8.2 User Content: You retain rights to content you post but grant us license to use it for platform operations.
8.3 Restrictions: You may not copy, modify, or reverse engineer any part of our platform or business model.
9. Liability & Disclaimer
Payment Protection
All payments are held in escrow until pool completion. If a pool doesn't reach required size, you receive a full refund. Your financial risk is limited to the timeframe until pool completion or cancellation.
9.1 No Warranty: The platform is provided "as is" without warranties of any kind.
9.2 Limitation of Liability: Our total liability to you shall not exceed the total payments you've made in the past 6 months.
9.3 Indemnification: You agree to indemnify us against claims arising from your use of the platform.
9.4 Pool Completion: We do not guarantee that all pools will reach required size. Pool success depends on market demand.
10. Governance & Changes
10.1 Governing Law: These Terms are governed by the laws of the State of California.
10.2 Changes to Terms: We may update these Terms periodically. Continued use after changes constitutes acceptance.
